Welcome to MediFlow. These Terms of Service ("Terms") govern your access to and use of MediFlow's medical software products, services, and platforms (collectively, the "Services"). 1. Acceptance of Terms
By accessing, downloading, installing, or using MediFlow's medical software products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Services on behalf of a healthcare facility, hospital, pharmacy, or other organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
MediFlow provides comprehensive healthcare software solutions including, but not limited to:
- Hospital Management Systems (HMS)
- Pharmacy Management Systems
- Electronic Health Records (EHR) systems
- Patient management and scheduling software
- Medical billing and invoicing systems
- Healthcare analytics and reporting tools
- Related support, maintenance, and consulting services
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
3. User Accounts and Access
To access certain features of our Services, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- Ensure that all users under your account comply with these Terms
4. Compliance with Bangladesh Laws and Regulations
As a provider of medical software services in Bangladesh, we comply with applicable laws and regulations, including but not limited to:
- The Digital Security Act, 2018
- The Bangladesh Medical and Dental Council Act
- Healthcare facility licensing requirements
- Data protection and privacy regulations
- Medical device and software regulations as applicable
You agree to use our Services in compliance with all applicable Bangladesh laws, regulations, and healthcare industry standards. You are responsible for ensuring that your use of our Services complies with all local, state, and national healthcare regulations.
5. Medical Data and Patient Information
Our Services may involve the processing, storage, and transmission of sensitive medical data and patient information. You agree that:
- You have obtained all necessary consents and authorizations for the collection, storage, and processing of patient data
- You will use our Services only for lawful medical and healthcare purposes
- You will not input, store, or process any patient data without proper authorization
- You are responsible for maintaining the confidentiality and security of patient information
- You will comply with all applicable medical privacy laws and regulations
- You will not use our Services in any way that violates patient privacy rights
6. Intellectual Property Rights
All content, features, functionality, software, and materials provided through our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of MediFlow or its licensors and are protected by Bangladesh and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services solely for your internal business purposes in accordance with these Terms. You may not:
- Copy, modify, distribute, sell, or lease any part of our Services
- Reverse engineer, decompile, or disassemble our software
- Remove or alter any copyright, trademark, or other proprietary notices
- Use our Services to create competing products or services
7. Payment Terms
If you purchase a subscription or license to our Services, you agree to:
- Pay all fees as specified in your service agreement or invoice
- Provide accurate billing and payment information
- Authorize us to charge your payment method for all applicable fees
- Pay all fees in the currency specified (Bangladeshi Taka or as agreed)
- Understand that fees are non-refundable except as required by law or as specified in your agreement
We reserve the right to change our pricing with reasonable notice. Failure to pay may result in suspension or termination of your access to the Services.
8. Prohibited Uses
You agree not to use our Services to:
- Violate any applicable laws, regulations, or healthcare standards
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful, malicious, or illegal content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our Services
- Use automated systems to access our Services without authorization
- Share your account credentials with unauthorized parties

9. Data Security and Backup
While we implement industry-standard security measures to protect your data, you acknowledge that:
- No system is completely secure, and we cannot guarantee absolute security
- You are responsible for maintaining your own backups of critical data
- You should implement appropriate security measures on your end
- We are not liable for data loss due to circumstances beyond our reasonable control
10. Service Availability and Modifications
We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may:
- Perform scheduled maintenance with reasonable notice
- Make updates, modifications, or improvements to our Services
- Temporarily suspend services for emergency maintenance
- Modify or discontinue features with reasonable notice
11. Limitation of Liability
To the maximum extent permitted by Bangladesh law:
- Our Services are provided "as is" and "as available" without warranties of any kind
- We do not guarantee that our Services will be error-free, uninterrupted, or secure
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim
- We are not responsible for decisions made based on information provided through our Services
Important: Our software is a tool to assist healthcare providers. It does not replace professional medical judgment. Healthcare providers are solely responsible for all medical decisions and patient care.
12. Indemnification
You agree to indemnify, defend, and hold harmless MediFlow, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any rights of another party
- Any patient data or information you input into our Services
13. Termination
We may terminate or suspend your access to our Services immediately, without prior notice, if you:
- Violate these Terms of Service
- Fail to pay applicable fees
- Engage in fraudulent or illegal activities
- Misuse our Services in any way
Upon termination, your right to use the Services will cease immediately. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination will survive.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiation. If such negotiation is unsuccessful, disputes shall be resolved through arbitration in accordance with the Arbitration Act of Bangladesh, or through the appropriate courts in Bangladesh.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on our website
- Sending an email notification to your registered email address
- Displaying a notice within our Services
Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.

17. Severability

18. Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and MediFlow regarding the use of our Services and supersede all prior agreements and understandings.
